• Trademark and copyright notices must be preserved
• Custom models: licensing terms defined in project contracts

5. Service-Specific Terms

AI Consulting Services

• Deliverables specified in statement of work
• Payment terms: 50% upfront, 50% upon completion
• Consulting engagement typically 6-8 weeks
• Recommendations provided based on information available at time of assessment
• Implementation support available as separate engagement

Machine Learning Development

• Project scope defined in technical specification document
• Payment milestones tied to development phases
• Model performance metrics established upfront
• 90-day warranty period for technical issues
• Source code and documentation provided upon final payment
• Training and knowledge transfer included

Integration Services

• Integration timeline: 2-4 months typical
• Testing phases required before production deployment
• Change requests handled through formal process
• Post-deployment support: 90 days included
• Client responsible for system backups

6. Payment Terms

• All fees quoted in Singapore Dollars (SGD)
• Payment due within 30 days of invoice date unless otherwise specified
• Late payments subject to interest at 1.5% per month
• Expenses for travel and third-party services billed separately
• Refunds considered on case-by-case basis
• Outstanding payments must be settled before project delivery

7. Warranties and Disclaimers

• Services provided with reasonable skill and care
• No guarantee of specific results or outcomes
• AI models perform based on training data and conditions at time of development
• Model accuracy may vary with data distribution changes
• We disclaim warranties of merchantability and fitness for particular purpose to extent permitted by law
• Client responsible for verifying outputs before business use

8. Limitation of Liability

• Total liability limited to fees paid for specific service
• No liability for indirect, consequential, or punitive damages
• No liability for data loss if client fails to maintain backups
• Force majeure events exempt from liability
• Client assumes risk of AI implementation decisions
• Limitations apply to extent permitted under Singapore law

9. Confidentiality

• Both parties agree to maintain confidentiality of proprietary information
• Confidential information includes technical specifications, business data, and methodologies
• Obligations survive termination of agreement
• Exceptions for information already public or independently developed
• Disclosure permitted when required by law with advance notice

10. Term and Termination

Either party may terminate this agreement:

• With 30 days written notice for consulting services
• Immediately for material breach
• For violation of prohibited uses
• For non-payment beyond 60 days

Upon termination:

• Access to services will be discontinued
• Outstanding payments remain due
• Deliverables completed to date will be provided upon payment
• Confidentiality obligations continue

11. Dispute Resolution

• Negotiation: Initial attempt at informal resolution (30 days)
• Mediation: If negotiation fails, mediation through Singapore Mediation Centre
• Arbitration: Binding arbitration under Singapore International Arbitration Centre rules
• Jurisdiction: Singapore courts have exclusive jurisdiction
• Governing Law: Singapore law applies
• Language: Proceedings conducted in English

12. Indemnification

Client agrees to indemnify and hold cognix ar harmless from claims arising from: (a) client's use of services, (b) violation of these terms, (c) infringement of third-party rights, (d) client's business operations or decisions based on service outputs.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. We will notify clients of material changes via email. Continued use of services after changes constitutes acceptance of modified Terms. For active projects, existing terms apply unless mutually agreed otherwise.

14. General Provisions

• Entire Agreement: These Terms constitute entire agreement between parties
• Severability: Invalid provisions don't affect remainder of agreement
• Waiver: No waiver unless in writing
• Assignment: Rights not transferable without written consent
• Notices: Sent to registered email addresses or business addresses
• Force Majeure: Not liable for delays due to circumstances beyond reasonable control
